The Board of Directors of Sameera Agro and Infra Ltd. has accepted the resignation of Ms. Pratibha Kumrawat as Company Secretary, expressing appreciation for her service. They approved the appointment of Ms. Shivani Jain as the new Company Secretary, effective February 1, 2025. The existing statutory auditors, M/s Damacherla & Associates, have resigned and will be replaced by M/s MMRS & Co., who will serve for the financial year 2024-25, pending member approval at an upcoming Extraordinary General Meeting.
The Board also constituted a Risk Management and a Corporate Social Responsibility Committee, with Mr. V.S.E.N.D. Sesha Sai CH as Chairman. The company acquired a 74% stake in M/s Amar Wineries, which has now sold to M/s Globe Continental Distilleries Private Limited, becoming its subsidiary. The latter has commenced commercial production of Indian Made Liquor on February 14, 2025, and will require an estimated ₹55 Crores for working capital and capacity expansion.
The Board has planned a bonus issue of shares at a ratio of 4:1, subject to NSE approval to migrate to the main board due to the increased paid-up capital exceeding ₹25 Crores. The detailed actions and approvals are scheduled for discussion at an upcoming Extraordinary General Meeting.
