Camlin Fine Sciences Limited — JV/Acquisition, 24-02-2025: Acquisition

Camlin Fine Sciences has entered into a Share Purchase Agreement to acquire a majority stake of approximately 78.68% in Vinpai S.A. for €3.60 per share, valuing the transaction at around €2.66 million. Additionally, Camlin will invest €3.3 million via subscription to secured convertible bonds, which will convert into equity shares of Vinpai. This strategic acquisition aims to enhance Camlin's portfolio with Vinpai’s innovative algae-based ingredients, thereby enabling entry into more diverse markets and driving growth through improved nutritional formulations. The transaction is expected to close by June 30, 2025, significantly increasing Camlin's market footprint.
