NTPC Green Energy Limited — Updates, 12-02-2025: Press Release

ONGC NTPC Green Private Limited (ONGPL), a 50:50 joint venture between ONGC Green Limited and NTPC Green Energy Limited, has entered into a Share Purchase Agreement to acquire a 100% stake in Ayana Renewable Power Private Limited for an enterprise value of INR 195 billion (USD 2.3 billion). Ayana boasts approximately 4.1 GW of operational and under-construction renewable energy assets, with a strong portfolio contracted to high-credit-rated off-takers.

This acquisition is pivotal for ONGPL, marking its first significant move since its establishment in late 2024 and aligning with ONGC and NTPC's goals for sustainable energy and net-zero targets by 2038 and 2050, respectively. The completion of the transaction hinges on fulfilling certain conditions and obtaining regulatory approvals. This strategic move positions ONGPL to capitalize on growth opportunities in India's expanding renewable energy sector, paving the way for enhanced shareholder value and expanding their clean energy footprint.
