Hindusthan National Glass & Industries Limited — Important, 29-01-2025: Updates
The Supreme Court of India has pronounced a judgment in the case involving Independent Sugar Corporation Limited (Appellant) versus multiple respondents, including Girish Sriram Juneja. This case primarily concerns the Corporate Insolvency Resolution Process (CIRP) of Hindustan National Glass and Industries Limited (HNGIL) and the approval of a resolution plan by AGI Greenpac Limited amid regulatory scrutiny under the Competition Act.
The main points of contention revolved around whether the requirement for obtaining prior approval from the Competition Commission of India (CCI) for a combination—specifically a merger or acquisition—was mandatory or directory. The NCLAT had previously held that while CCI approval was necessary, the requirement for it to be secured before the Committee of Creditors (CoC) voted on the resolution plan was directory. This position was deliberated thoroughly as several stakeholders posited that CCI’s approval must precede CoC consideration to safeguard competitive dynamics in the market.
Ultimately, the Supreme Court upheld the NCLAT’s decision, affirming the interpretation that the requirement for CCI approval is directory in nature. It stated that insisting upon prior approval from CCI at the CoC stage could limit the number of eligible resolution applicants, contrary to the objectives of the IBC intended to maximize asset recovery and benefit stakeholders.
The court ordered that the AGI Greenpac resolution plan approval by the CoC, lacking prior CCI consent at the time of its approval, failed to meet statutory requirements. Thus, it directed the CoC to reconsider the resolution plan and stated that any actions taken pursuant to the invalidated resolution plan would be nullified, restoring stakeholders' rights to status quo ante before the CoC's original approval.
The judgment reinforces the imperative of balancing regulatory compliance with the expeditious resolution of insolvency while maintaining the integrity of competitive markets.
