UNO Minda Limited — Important, 29-01-2025: General Updates

The Scheme of Amalgamation involving Kosei Minda Aluminum Company Pvt. Ltd., Kosei Minda Mould Pvt. Ltd., and Minda Kosei Aluminum Wheel Pvt. Ltd. with Uno Minda Limited has become effective following the sanction by the National Company Law Tribunal. The scheme's appointed date is set for April 1, 2023, and it entails the transfer of authorized share capital from the amalgamating companies to Uno Minda. As a result, Uno Minda's authorized share capital will be adjusted to ₹1,148.15 crore, comprising approximately 3,918.52 million equity shares and various preference shares. Shareholders of the transferor companies will receive equity shares of Uno Minda based on a predetermined share swap ratio. This consolidation is expected to enhance Uno Minda’s financial structure and operational capabilities, offering a positive outlook for investors moving forward.
