Shivam Autotech Limited's Board of Directors has approved a proposal for fund-raising through the issuance of secured, unlisted, unrated redeemable Non-Convertible Debentures (NCDs) amounting to ₹50 crore (Cr). The NCDs will be issued via private placement, with a total of up to 5,000 securities, each with a face value of ₹1 lakh. The instruments will have a maximum tenure of 48 months, including a 12-month moratorium. A coupon rate of 14% per annum will be offered. The debentures will be secured by assets, including a second charge on all fixed assets of the company and a Debt Service Reserve Account for one quarter’s interest servicing. This strategic move not only provides liquidity but also strengthens the company's capital structure, positioning it for potential growth.
