DCX Systems Limited — Important, 30-12-2024: Updates

The Hon’ble National Company Law Tribunal has approved the amalgamation of VNG Technology Private Limited, the former promoter, with Raneal Technologies Private Limited, effective December 30, 2024. Following the amalgamation, VNG Technology will be dissolved, and Raneal Technologies will now serve as the promoter of DCX Systems.

In terms of shareholding, Raneal Technologies will hold 3,18,84,542 shares (28.63% of paid-up capital) post-amalgamation, while NCBG Holdings Inc. and Raghavendra Rao Hosakote Shamarao will maintain their respective holdings.

The company stated that this change will not impact any business or accounting policies and will not materially affect its financials. This transition offers a continuity of leadership without operational disruptions, providing a stable outlook for DCX Systems moving forward.
