Ambuja Cements has announced the amalgamation of its subsidiaries, Sanghi Industries and Penna Cement, into the parent company. This strategic move aims to enhance shareholder value by streamlining organizational structure and simplifying compliance. Under the plan, Ambuja will issue 12 equity shares of face value Rs. 2 each for every 100 equity shares held in Sanghi Industries (face value Rs. 10 each). The transaction is subject to requisite approvals and is expected to be completed within 9-12 months.
Sanghi Industries boasts a clinker capacity of 6.6 MTPA and a cement capacity of 6.1 MTPA, with significant limestone reserves. Penna Cement, operational at 10 MTPA, has ongoing projects to expand its capabilities. This consolidation is projected to improve working capital management and unify cash flow, which may facilitate faster growth and cost efficiencies. Overall, this strategic amalgamation should strengthen Ambuja's market competitiveness, offering a positive outlook for shareholders.
