Triumph Offshore Private Limited (TOPL), a wholly owned subsidiary of Swan Energy Limited (SEL), and Reliance Naval and Engineering Limited (RNEL), a step-down subsidiary, have approved a Scheme of Arrangement and Amalgamation. This merger is pending approval from the National Company Law Tribunal and relevant stock exchanges and authorities. The strategic rationale includes consolidating operations in shipbuilding and engineering, enabling the merged entity to control costs and enhance competitiveness in the global market, particularly in naval defense and energy sectors.
TOPL reported a turnover of ₹63,205 cr, while RNEL’s turnover was ₹47,337 cr as of March 31, 2024. The merger will simplify the management structure and improve financial health, while also creating opportunities for potential dividend payouts. Importantly, no cash consideration will be involved; instead, shareholders of TOPL will receive redeemable preference shares in RNEL, maintaining existing shareholding patterns. This merger reflects a positive outlook for the combined entity's future performance.
