Swan Defence and Heavy Industries Limited — JV/Acquisition, 22-11-2024: Amalgamation/Merger

Reliance Naval and Engineering Limited (RNEL) has approved a Scheme of Arrangement and Amalgamation with Triumph Offshore Private Limited (TOPL), aimed at consolidating operations in the shipbuilding and heavy engineering sectors. The amalgamation is expected to enhance efficiency by combining activities related to vessel management, thus optimizing costs and quality control. RNEL will issue 1,325 Redeemable Preference Shares for every 1,000 equity shares held by TOPL's shareholders. The strategy supports RNEL’s efforts to streamline its operations post-Corporate Insolvency Resolution Process, ultimately positioning the merged entity to capitalize on increasing demand in naval defense and energy infrastructure sectors.
