The Audit Committee and Independent Directors of Odigma Consultancy Solutions Limited have certified the distribution of proceeds to eligible shareholders from the sale of fractional entitlements arising from the Composite Scheme of Arrangement with Infibeam Avenues Limited. Under this scheme, which became effective on September 14, 2024, eligible shareholders of Infibeam were allotted shares of Odigma at a ratio of 89:1. Following the necessary allotment, 2,74,378 shares corresponded to fractional entitlements. These shares were sold for an average price of ₹39.39, resulting in net proceeds of approximately ₹1.08 crore, distributed to shareholders on March 25, 2025, proportionate to their entitlements after deducting expenses. The careful adherence to relevant master circulars ensured transparency and compliance. This effective capital management reinforces the company’s commitment to shareholder value.
