Samvardhana Motherson International Limited — Important, 15-04-2025: General Updates

Samvardhana Motherson International Limited has entered into definitive agreements allowing BIEL Crystal (Singapore) Private Limited to acquire up to 49% of Motherson Electronic Components Private Limited (MECPL), a wholly owned subsidiary of Samvardhana Motherson Innovative Solutions Limited (SMISL). BIEL has made an initial investment of approximately Rs. 51.67 Crore for 0.01% Cumulative Compulsory Convertible Preference Shares (CCPS) in MECPL, which will convert into equity shares at the end of a five-year tenure. Following this investment, SMISL retains 90% ownership of MECPL. Notably, BIEL has rights to nominate a director to MECPL's board and to increase its stake in future tranches up to the specified limit by April 2029. This strategic partnership may enhance the company's capabilities in electronic components and suggests a positive outlook for potential growth through technology collaboration.
