PDS Limited — Important, 17-04-2025: Diversification/Disinvestment

Nor Lanka Manufacturing Limited, a subsidiary of PDS Limited, has allotted equity shares to PDS Group employees, diluting PDS's ownership in Nor Lanka to approximately 90.5%. As a result, Nor Lanka is no longer a wholly-owned subsidiary. In the last financial year, Nor Lanka contributed ₹67,587 Cr in turnover, accounting for 6.5% of PDS's consolidated turnover, and ₹6,070 Cr in net worth, representing 5.2% of consolidated net worth. This move may positively affect PDS's employee engagement and align incentives, potentially enhancing operational performance while introducing some dilution of control.
