Thacker and Company Limited has announced a board meeting to consider the financial results for the quarter and half-year. The company received NCLT approval for the merger by absorption of its wholly owned subsidiary, Fujisan Technologies Limited, with an appointed date of April 1, 2022. The merger aims to consolidate operations, improve efficiency, reduce overhead costs, and enhance shareholder value. No shares will be issued as consideration, and the subsidiary’s equity capital will be cancelled upon the merger. The Transferee Company will amend its object clause to include the business activities of the Transferor Company. Pending litigations of the subsidiary will transfer to Thacker and Company. The scheme is deemed fair and binding on shareholders, creditors, employees, and all stakeholders.
