Fruition Venture Ltd — Updates, 05-05-2025: Company Update
Fruition Venture Limited has applied to re-initiate the reclassification of former promoters—Mr. Nitin Jain, Mr. Sanhit Jain, and M/s Nitin Jain (HUF)—as public shareholders following an open offer through which the new promoters, Mr. Krishan Kumar Aggarwal and Mr. Nitin Aggarwal, acquired control. The acquisition involved purchasing 19,83,981 equity shares (49.6%) at Rs 12.50 per share and an open offer to acquire an additional 10,40,000 shares (26%) at Rs 13 per share. The company’s promoters now hold 75.6% collectively, with public shareholders holding 24.4%. The new promoters plan to continue the existing business in share trading and related activities. The outgoing promoters will have no control or representation on the board or in management for at least three years and do not hold over 10% voting rights post-reclassification. Fruition Venture reported fluctuating profits over recent years, with the last audited book value per share at Rs 13.68 and EPS of Rs 1.94 in FY22. The reclassification aligns with compliance and governance standards and aims to reflect the current ownership and management structure accurately.
