Exceptional items included merger-related legal fees and inventory obsolescence provisions. The Board declared a dividend of Rs. 20 per share, pending shareholder approval, appointed new statutory and secretarial auditors, and designated three Key Managerial Personnel. An ESOP plan for 3.4 lakh options and flexible investment powers for its subsidiary 3D Future Technologies were also approved.
