Trans India House Impex Limited (TIHIL) is conducting a Rights Issue offering up to 3.55 crore fully paid-up equity shares of ₹10 each at ₹13.90 per share (including a premium of ₹3.90), targeting total proceeds of approximately ₹49.38 crore. The Issue is on a 1:1 basis, granting one Rights Equity Share for each share held on the record date. The net proceeds will primarily fund working capital requirements (₹44.88 crore) and general corporate purposes (up to ₹4 crore). The Issue will be processed via the ASBA mechanism, with allotment and credit of shares only in dematerialised form to existing demat accounts. Promoters have not confirmed subscription intentions, so minimum subscription conditions apply. TIHIL operates as an export trading company specializing in ceramic tiles, textiles, FMCG, and packaging, serving markets including Western Africa and UAE. The company achieved revenues of ₹81.11 crore and PAT of ₹2.47 crore for FY24. Its shares are listed on BSE (Scrip Code: 523752).

The Issue opens on May 27, 2025, closes on June 17, 2025, with rights entitlements tradable on-market under ISIN INE502D20011 until June 11, 2025. Credit of rights entitlements will be made prior to opening. Applications must be made via ASBA to the designated banks. Fractional entitlements are ignored. Rights entitlements not renounced or subscribed will lapse without compensation, resulting in shareholding dilution. Additional shares can be applied for only by shareholders who fully subscribe their entitlements. The company is not appointing a monitoring agency due to issue size.

There are no outstanding material litigations against the company or promoters affecting operations. The company is under SEBI surveillance categorized under ASM Stage 1, which may affect trading liquidity. The promoters collectively hold 55.35% pre-issue. The company’s business is export-focused with longstanding presence and global partnerships enabling trade in diversified products. Prior financial years have seen significant revenue growth but occasional negative operating cash flow. Key risks include working capital intensity, regulatory changes, and market volatility. The rights issue documents, including the Letter of Offer and application form, will be dispatched only to eligible shareholders with Indian addresses. Non-resident shareholders must comply with applicable regulations. This is a non-US offering; securities are not registered in the US and cannot be offered or sold there.
