Netlink Solutions India Ltd — Updates, 01-01-1970: Company Update

M/s Arix Capital Limited, Mrs. Kajal Gopal Baldha, and Mr. Punitbhai Bavanjibhai Lakkad have announced a board meeting on Thursday, June 26, 2025, to consider an open offer for acquiring up to 6,57,599 shares (26%) of Netlink Solutions (India) Limited from public shareholders at ₹186 per share, payable in cash. This offer follows their indirect acquisition of control via a substantial share purchase in the holding company, Jupiter Infomedia Limited. The total offer consideration is ₹12.23 Cr. The offer is unconditional, non-competing, and includes interest at 10% per annum for any payment delay. Public shareholders can tender shares during the tendering period from June 26 to July 9, 2025, through the stock exchange mechanism on BSE. The acquirers have confirmed adequate financial resources and have deposited ₹3.30 Cr in escrow. Shareholders holding shares in physical form may also participate, subject to verification. Tax deduction at source will apply as per prevailing laws, and tax liabilities remain shareholders’ responsibility.
