Lumax Industries has announced a board meeting outcome including approval of the financial results for the quarter and half-year. The company declared a final dividend of Rs. 35 per share for FY 2024-25, subject to shareholder approval. Key leadership changes include the resignation of Non-Executive Director Mr. Tetsuya Hojo and appointment of Mr. Kenjiro Nakazono as Executive Director (Whole Time), alongside reappointments of Chairman & Managing Director Mr. Deepak Jain, Joint MD Mr. Anmol Jain, Executive Director Mr. Raajesh Kumar Gupta, and Independent Director Mr. Vikrampati Singhania, all pending shareholder nod. The company plans an investment of up to Rs. 1.49 Cr in a new subsidiary SPV focused on solar energy for captive consumption. Grant Thornton Bharat LLP, Jitender Navneet & Co., and Mr. Maneesh Gupta have been reappointed/appointed as internal, cost, and secretarial auditors respectively. A material related party transaction with Lumax Auto Technologies will be proposed to shareholders. The 44th Annual General Meeting will be held via video conferencing.

Standalone net profit stood at Rs. 91.51 Cr for FY 2024-25, up from Rs. 86.08 Cr last year, with earnings per share of Rs. 97.90. Consolidated net profit was Rs. 139.91 Cr versus Rs. 111.02 Cr, with EPS at Rs.149.67. Revenue from operations rose to Rs. 3,40,039 lakhs standalone and consolidated. Finance costs increased but remained manageable relative to operating profit. The company’s asset base grew to Rs. 2,62,138 lakhs (standalone) and Rs. 2,86,098 lakhs (consolidated).
