TruCap Finance Limited — Board Meeting, 26-05-2025: Outcome of Board Meeting

TruCap Finance has announced a board meeting on May 26, 2025, approving a ₹206.87 Cr fundraise via preferential allotment to Marwadi Chandarana Intermediaries Brokers Pvt Ltd, which may take a 62.54% stake post-approvals. Authorized share capital will rise to ₹75 Cr. Existing promoters will sell 10.99% stake, transferring control to the new investor and triggering an open offer. The company allotted 19.63 lakh shares under ESOP and granted 26.63 lakh stock options. FY25 consolidated revenue stood at ₹199.56 Cr with a net loss of ₹59.25 Cr, hit by impairments and finance costs. The gold loan business sale to InCred was called off. An EGM is planned for June 25, 2025.
