Adarsh Mercantile Limited (AML) has announced a board meeting relating to an open offer by six individual Acquirers led by Mr. Ajay Jaiswal to acquire up to 42.95 lakh shares, representing 26% of AML’s existing equity, at Rs. 42 per share. This follows a preferential allotment of 1.28 crore equity shares, increasing the Acquirers’ combined stake to approximately 74%, along with a share purchase agreement to buy 26.9 lakh shares from existing promoters. Post-offer, the Acquirers will control nearly 99.6% of AML, with plans to maintain the company's listing and possibly expand or diversify operations. The open offer process includes a stock exchange mechanism for tendering shares and is fully funded with Rs. 18.04 Cr reserved in escrow. The Seller Company, Sai Machine Tools Pvt. Ltd., will become a wholly owned subsidiary of AML after completion. AML is engaged in trading agro-product commodities and investments, and is now subject to corporate governance regulations following the capital increase. The Acquirers have taken board positions and confirmed no significant disposal of assets is planned in the next two years except in the ordinary course of business. The offer is unconditional, with no competing bids, and shareholders can tender shares through their brokers.
