Shamrock Industrial Company’s control is set to change hands as Lotus Excel Wealth Creators LLP, HODL Systems LLP, Bagepalli Vijaykumar Harish, and Rattan Kapoor plan to acquire 26% of emerging voting share capital via an open offer of 36.3 lakh shares at ₹16.40 each, totaling ₹5.95 Cr. This follows their agreement to purchase 16.37 lakh equity shares (30.15% of existing voting capital) and a preferential allotment of 58.75 lakh shares plus 76.02 lakh optionally convertible debentures (OCDs), subject to shareholder approval. Post-transaction, they will hold 53.8% of the company and assume promoter status, while current promoters will reduce holdings below 10% and relinquish control. The acquirers confirm adequate funds for the offer and have no plans to delist shares.
