Shamrock Industrial Company Ltd — Updates, 01-01-1970: Company Update

Lotus Excel Wealth Creators LLP, HODL Systems LLP, Bagepalli Vijaykumar Harish, and Rattan Kapoor have announced an open offer to acquire up to 36.3 lakh equity shares (26% of emerging voting capital) of Shamrock Industrial Company Ltd at ₹16.40/share, totaling ₹5.95 Cr. This follows a share purchase agreement to acquire 16.37 lakh shares (11.72%) for ₹2.68 Cr and a proposed preferential issue of 58.75 lakh equity shares and 76.02 lakh optionally convertible debentures to the acquirers for ₹9.63 Cr. Post-transaction, the acquirers will hold about 53.8% and take control, becoming the new promoters. The company’s shares are infrequently traded and currently under graded surveillance. The acquirers have no plans to delist the stock.
