Sub: Certificate for Non-Applicability of Disclosure of Related Party Transaction under

Regulation 23(9) of the SEBI (Listing Obligations and Disclosure Requirements)

Regulations, 2015 ("Listing Regulations") for the Second half year ended 31st March,

2025.

This is in reference to the above captioned subject in connection with the submission of certificate for

Non-applicability of Disclosure of Related Party Transaction under Regulation 23(9) of Listing Regulations

for the Second half year ended March 31, 2025.

This is to inform you that as per Regulation 15 (2) of SEBI (LODR) Regulations, 2015, the compliance with

the corporate governance provision as specified in Regulation 17, 17A, 18, 19, 20, 21,22, 23, 24, 24A, 25,

26, 27 and clauses (b) to (i) of sub-regulation (2) of regulation 46 and para C, D and E of schedule V shall

not apply, in respect of the listed entity having paid up equity share capital not exceeding Rupees 10

crores and Net Worth not exceeding Rupees 25 crores, as on the last day of the previous financial year.

We further inform you that, Filmcity Media Limited (lithe Company") as per the latest Audited

Financials, the paid up equity share capital of the company is Rs 3, 05, 70, 969 (Rupees Three Crore Five

Lakhs Seventy Thousand Nine Hindered Sixty Nine) and Net Worth is Rs 2,87,92,331 (Rupees Two Crore

Eighty Seven Lakh Ninety Two Thousand Three hundred Thirty One) on the last day of the Financial year

i.e. March 31, 2025 respectively, which are not exceeding the limits prescribed in Regulation 15(2) of

Listing Regulations.

Therefore, Regulation 23(9) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

is not applicable to our company i.e. Filmcity Media Limited. Accordingly, we are not required to file

Disclosure of Related Party Transaction with the stock exchange.
