Subject: Non-Applicability of Annual Secretarial Compliance Report for the Year Ended 31st March,

2025 under Regulation 24A of the SEBI (Listing Obligations and Disclosure Requirements)

Regulations, 2015

Dear Sir/Madam,

In reference to the above captioned subject, Pursuant to the provisions of Regulation 24A of SEBI (Listing

Obligations and Disclosure Requirements), 2015 read with SEBI and Stock Exchange Circulars and notices

issued thereunder regarding submission of Annual Secretarial Compliance Report. However, in terms of

Regulation 15(2) (b) of SEBI (Listing Obligations and Disclosures Requirements) Regulations, 2015, the

compliance with the corporate governance provisions as specified in regulations 17, 17A, 18, 19, 20, 21, 22,

23, 24, 24A, 25, 26, 27 and clauses (b) to (i) [and (t)] of sub-regulation (2) of regulation 46 and para C, D and

E of Schedule V shall not apply, in respect of:

a. The listed entity having paid up equity share capital not exceeding rupees ten crore and net worth not

exceeding rupees twenty-five crore, as on the last day of previous financial year.

b. The listed entity which has listed its specified securities on the SME Platform.

We hereby inform you that paid up equity share capital of the Company as on 31st March, 2024 is INR

9,80,08,225/- (Rupees Nine Crore Eighty Lakhs Eight Thousand Two Hundred and Twenty-Five Only) and the

Net worth of the Company as on 31st March, 2024 is INR 1,39,21,228/- (Rupees One Crore Thirty-Nine Lakh

Twenty-One Thousand Two Hundred Twenty-Eight Only), does not exceeding the limits as specified above. As

the company falls under the ambit of the aforesaid exemption the compliance with Annual Secretarial

Compliance Report provisions as specified in Regulation 24A shall not be applicable to the Company.

Therefore, it is not required to submit Annual Secretarial Compliance Report for the Financial Year ending

March 31, 2025.

The company also undertakes that whenever this regulation becomes applicable to our company at a later

date, the company will comply with the requirements of the above regulations within six months from the

date on which the provision becomes applicable to the company.
