Financial Results
Considered and approved the audited financial results for the year ended March 31,
2025 along with the report of the statutory auditors.
Appointment of Secretarial Auditors of the Company
The Directors discussed and approved the appointment of M/s. MUNDHARA & Co,
Company Secretaries, Chennai as secretarial auditors for the financial year 2025-26 to
2029-2030 subject to approval of members of the Company.
Appointment of Internal Auditors of the Company
The Directors discussed and approved the appointment of Mr. T.S. SRINIVASAN,
Chartered Accountant, Chennai as an internal auditor for the financial year 2025-26.
The above matters have been duly approved by the Board of Directors at their meeting
which commenced at 12.15 p.m. and concluded by 2.15 p.m.

We have audited the standalone financial results of Mansi Finance Chennai Limited ("The Company"),
for the quarter ended 31st March 2025 & the year to date results for the period April l, 2024 to March
31, 2025, attached herewith, being submitted by the Company pursuant to the requirement of
Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements) Regulations,2015 .
ln our opinion and to the best of our information and according to the explanations given to me, the
aforesaid standalone financial statement :
i. ls presented in accordance with the requirements of the Listing Regulations in this regard; arld
ii. gives a true and fair view in conformity with the applicable accounting standard and other
accounting principles generally accepted in India, of the net profit, other comprehensive income and
other hnarcial information ofthe Company for the qua.rter and year ended March3l'2025.
Basis for Opillg!
We conducted our audit in accordance with the Standa-rds on Auditing (SAs) specihed under section
143(10) of the Companies Act, 20 13. Our responsibilities under those Standards are furlher describcd
in the Auditor's Responsibilities for the Audit of the Financial Statements section of our report. We are
independent of the Company in accordance with the Code of Ethics issued by the Institute of
Chartered Accountants of India together with the ethical requirements that are relevant to our audit of
the hnancial statements under the provisions of the Companies Act, 2013 and the Rules thereunder,
and We have fulfilled our other ethical responsibilities in accordance with these requirements arrd the
Code of Ethics. We believe that the audit evidence we have obtained is sufhcient and appropriate to
provide a basis for our opinion

The statement has been prepared on the basis of the standa-lone annual hnancial statements. The
Con)pany's Board of Directors is responsible for the preparation and presentation of the Statement
that give a true and fair view of the financial position , hnancial performance and cash flows of the
Company in accordance with the accounting principles generally accepted in India including the
accounting standards specified under section 133 of the Act, read with releva:tt rules issucd
thereunder. This responsibility also includes maintenalce of adequate accounting records tn
accordance with the provisions of the Act for safeguarding the assets oI the Company and for
preventing aud .letecting frauds and other irregularities; selection and application of appropriate
acccrunting policies; making judgements and estimates that are reasonable and prudent; and design,
irnplementation and maintenance of adequate internal finalcial controls, that were operating
effectively for ensuring the accuracy and completeness of the accounting records.:Jqlevant to the

ln preparing the hnancial statements, management is responsible for assessing the Company's ability
to continue as a going concern, disclosing, as applicable, matters related to going concern and using
the going concern basis of accounting unless management either intends to liquidate the Company or
to cease operations, or has no realistic alternative but to do so.
Those Board of Directors is also responsible for overseeing the company's financial reporting process
Auditor's Rcsponsibilitv for thc Audit of the Fiial Statements
Our objectives is to obtain reasonable assurance about whether the finallcial statements as a whole
are free from material misstatement, u'hether due to fraud or error, and to issue an auditor's report
that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee
that an audit conducted in accordance with SAs will always detect a material misstatement when it
exists. Misstatements can arise from fraud or error ard are considered material if, individually or in
the aggregate, they could reasonably be expected to inlluence the economic decisions of users taten on
the basis of these linancial statements.
As part of an audit in accordance with SAs, We exercise professional judgement arrd maintain
professional scepticism throughout the audit We also :
Identiiy and assess the risks of material misstatement of the standalone hnancial statements, whether
due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit
evidence that is sufficient and appropriate to provide basis for our opinion. The risk of not detecting a
material nisstatement resulting from fraud is higher than for one resulting from error, as fraud may
involve c(.)llusion, forgery, intentional omissions, misrepresentations, or override of interna.l control.
Obtain an understanding of internal control relevant to the audit in order to design audit procedures
that are appropriate in the circumstances. Under section 143(3)(i) of the Companies Act 2013, We are
also responsible for expressing our opinion on whether the company has adequate internal financial
controls systenl in place and the operating effecting of such controls.
Evatuate the appropriateness of accounting policies used and reasonable of accounting estimates and
related disclosures made by management.
Conclude on the appropriateness of management'S use of the going concern basis of accounting and,
based on the audit evidence obtained, whether a material uncertainty exists related to events or
conditions that may cast significant doubt on the company's ability to continue as a going concern. [[
We conclude that a material uncertainty exists ,We are required to draw attention in our auditor's
report to the relatecl disclosures in the standalone hnancial statements or, if such disclosures are
inadequnte, to modify our opinion. Our conclusions are based on the audit evidence obtained upto the
date of our auditor's report.However,future events or conditions may cause the company to cease to
continue as a goin concern.
Evaluate the overall presentation ,structure and conteDt of the standalone financial statements,
including the disclosures, and whether the standalone financial statements represent the underlying
transactior.ls and events in a manner that achieves the fair presentation.

We communicate with those charged with governance regarding, among other matters, the planned
scope and timing of the audit and signihcant audit findings, including any signifrcant deltciencies in
internal cotltrol that We identify during our audit.
We also provide those charged with governance with a statement that we have complied with relevant
cthical requirements regarding independence, and to communicate with them all relationships and
other matters that may reasonably be thought to bear on our independence, and where applicable,
related safeguards.
Other Matter
The statement includes the results for the qua-rter ended 31st March, 2025 being the balancing ltgure
between audited figures in respect of the fult hnancial year and the published year to date figures up
to the third quarter to the current ltnarrcial year which were subject to limited review by us.
