Ambalal Sarabhai Enterprises Limited has announced a board meeting to consider the financial results for the quarter and half-year. The Board approved the audited consolidated and standalone financial results for the year ended March 31, 2025, with the statutory auditors providing an unqualified opinion. The company appointed M/s. RPSS & Co. as Secretarial Auditors for five years, subject to shareholder approval, and reappointed M/s. Gautam Joshi & Co. as internal auditors for FY 2025-26. The 47th AGM is scheduled to be held via video conferencing. Directors Mr. Mohal K. Sarabhai and Mr. Mayur Swadia are proposed for reappointment.

Consolidated revenue stood at Rs. 196.18 Cr with a net profit of Rs. 4.93 Cr for the year. Segment-wise, pharmaceuticals reported Rs. 108.43 Cr revenue with a segment profit before financing of Rs. 5.90 Cr, while electronics delivered Rs. 87.75 Cr revenue with Rs. 10.20 Cr segment profit. Profit before tax was Rs. 4.83 Cr including exceptional income of Rs. 7 Cr relating to litigation settlement. Total comprehensive income amounted to Rs. 4.49 Cr.

Standalone revenue was Rs. 4.03 Cr with a loss after tax of Rs. 1.96 Cr impacted by a Rs. 5.15 Cr exceptional charge, mainly from impairment and litigation settlements. Other comprehensive loss mainly arose from re-measurement of defined benefit plans and equity instruments.

Operating cash flow was negative both consolidated (Rs. 14.39 Cr) and standalone (Rs. 4.08 Cr), reflecting working capital pressures. Borrowings increased at consolidated level to Rs. 48.58 Cr current plus Rs. 7.63 Cr non-current, while standalone borrowings stood at Rs. 7.65 Cr current plus negligible non-current.

The company is not classified as a Large Corporate by SEBI for FY 2024-25. The audit and internal controls are confirmed effective with no modified audit opinions. These results clarify the financial health and ongoing business mix, highlighting steady electronics growth, pharmaceutical segment challenges, and litigation-related impacts critical for shareholders' assessment.
