Ramkrishna Forgings Limited — Others, 05-06-2025: Shareholders meeting

Ramkrishna Forgings Limited has announced a board meeting for an Extra Ordinary General Meeting to approve a preferential issue of up to 9,75,000 fully convertible warrants to its promoter entity, Riddhi Portfolio Private Limited, at Rs. 2,100 per warrant, raising up to Rs. 204.75 Cr. The proceeds will be mainly used to repay working capital loans (around Rs. 153.57 Cr) and for general corporate purposes (about Rs. 51.18 Cr). This fundraising at a premium enhances the promoter’s stake and boosts financial flexibility without changing management control.
