Variman Global Enterprises Ltd — Board Meeting, 07-06-2025: Board Meeting

Variman Global Enterprises Ltd. has announced a board meeting on which it approved increasing its authorized share capital from Rs. 27 Cr to Rs. 50 Cr, subject to shareholder approval. The company plans to acquire a 76% stake in Cultnerds IT Solutions Pvt Ltd by issuing up to 32.38 lakh shares at Rs. 10.50 each on a share swap basis, and acquire the remaining 16.67% stake in Straton Business Solutions Pvt Ltd by issuing up to 5 lakh shares similarly, making Straton a wholly owned subsidiary. Additionally, Variman will issue up to 50 lakh employee stock options under a new ESOP plan, pending shareholder approval. It has also recommended listing on the Main Board of Afrinex Exchange. These moves aim to drive inorganic growth and expand the company’s business footprint.
