SBEC Sugar Limited has announced a board meeting to consider a mandatory open offer following a Supreme Court order addressing promoter shareholding exceeding the regulatory threshold. SBEC Systems (India) Limited, along with persons acting in concert including Moderate Leasing & Capital Services Ltd., A To Z Holdings Pvt. Ltd., Longwell Investments Pvt. Ltd., and key promoters of SBEC Sugar, intend to acquire up to 1.24 Cr equity shares representing 26% of voting capital at ₹21 per share plus 10% per annum interest for delay, aggregating ₹26.02 Cr. The open offer arises from a promoter stake increase beyond the 5% breach in 2014, requiring public acquisition. The acquirer group currently holds ~63.86% of voting capital, with no planned asset disposals outside ordinary business. Financial arrangements include an escrow of ₹6.5 Cr and confirmed resources to fulfill obligations. Tendering will be executed through stock exchange mechanisms, allowing physical and demat shareholders to participate. The open offer aims to restore compliance with takeover regulations, protecting shareholder interests.
