Sical Logistics Ltd. has announced the voting results of its recent postal ballot conducted via remote e-voting on multiple resolutions. Shareholders approved three ordinary resolutions related to material related party transactions involving its ultimate holding company, immediate holding company, and step-down subsidiary. These relate primarily to securing and guaranteeing a rupee term loan facility of Rs. 250 Cr from Aditya Birla Capital Limited and others, with respective pledges and guarantees provided by these entities as security. However, three special resolutions seeking approval for creation of mortgage on subsidiary assets, pledge of subsidiary shares, and raising a loan convertible into equity/preference shares or debentures were not passed as they failed to secure the required majority. The approvals enable the company to strengthen liquidity with backing from key group entities.
