Ventive Hospitality Limited — JV/Acquisition, 17-06-2025: Amalgamation/Merger

Ventive Hospitality Limited has announced a merger scheme involving its wholly-owned subsidiaries: EON-Hinjewadi Infrastructure Private Limited, Restocraft Hospitality Private Limited, and Wellcraft Infraprojects Private Limited. The merger aims to consolidate similar hospitality and infrastructure businesses under Ventive Hospitality, enhancing operational efficiency, resource utilization, and management control while eliminating intra-group transactions. This consolidation is expected to strengthen the financial position, reduce administrative costs, and create a more investor-friendly structure. The Transferee Company, Ventive Hospitality, already holding 100% equity in these subsidiaries, will cancel its investments in them, resulting in no share issuance or dilution. The combined authorized share capital of Ventive Hospitality post-merger will be INR 2,071.05 Cr.
