Umang Dairies Limited — JV/Acquisition, 17-06-2025: Demerger

Umang Dairies has demerged its Dairy Business undertaking from Umang Dairies Limited (UDL) into Panchmahal Properties Limited (PPL), which will be renamed as Umang Dairies Limited post-demerger. The objective is to unlock value by creating a focused dairy entity with streamlined operations and governance, fostering strategic partnerships and investor interest. Concurrently, the residual business of UDL is amalgamated into Bengal & Assam Company Limited (BACL), which will issue shares to UDL shareholders. Shareholders of UDL will receive equity shares in the new structure, maintaining economic interest. The demerged dairy entity will operate as a standalone listed company, enhancing operational efficiency and regulatory compliance.
