Bengal & Assam Company Limited has announced a board meeting to consider the financial results for the quarter and half-year. The company’s composite Scheme of Arrangement involving Umang Dairies Limited (UDL), Panchmahal Properties Limited (PPL), and Bengal & Assam Company Limited (BACL) has become effective. Under this scheme, the dairy business of UDL has been demerged into PPL, which will be renamed Umang Dairies Limited, while the residual UDL has been amalgamated into BACL. Shareholders of UDL will receive equity shares of BACL at fixed exchange ratios for the demerger and amalgamation. The scheme aims to streamline operations, enhance focus on the dairy business, and reduce regulatory compliances. All assets, liabilities, employees, and approvals related to the dairy business have been transferred to PPL. The amalgamation of UDL into BACL includes a merger of assets, liabilities, and employees, with BACL continuing all legal proceedings and tax benefits. The authorized share capital of BACL is increased accordingly. The scheme is supported by valuation and fairness opinions, approved by shareholders, and is expected to unlock value by enabling focused growth and operational efficiencies.
