Dear Sir/Madam,

This is in response to your email, dated 20th June, 2025 with regard to the non-disclosure of reasons for

delay in submission of financial results. In this connection, we wish to submit the following:

1. We sincerely apologize for the delay in the submission of Financial Results for the period ended

31st March 2025.

2. We wish to submit the following explanation:

(a) The Company recently got listed on SME platform of BSE and we are in the process of

aligning our internal systems, processes, and timelines in accordance with the regulatory

requirements applicable to listed entities.

(b) As part of strengthening our internal governance framework, an internal audit was

undertaken for the first time during this period. The implementation of internal audit

procedures and aligning them with the financial reporting process required additional

coordination and time.

(c) While the intent throughout has been to meet regulatory timelines, the Company prioritizes

the quality and completeness of its disclosures. Accordingly, the delay was a result of our

commitment to maintaining high standards of accuracy and transparency.

(d) We remain fully committed to maintaining timely and accurate disclosures. The experience

from this reporting cycle is helping us identify gaps and we are already in the process of

implementing measures to streamline internal timelines and ensure timely compliance

going forward.

3. We wish to inform you that the Board meeting for Considering the Financial Results will now

be held on Friday, 27th June, 2025 at the Registered Office of the Company 161, Lenin Sarani,

4. Further, as per Company’s Code of Conduct for Prohibition of Insider Trading and SEBI

(Prohibition of Insider Trading) Regulations, 2015, the Trading Window for dealing in the

Securities of the Company will remain closed till the expiry of 48 hours after the announcement

of the outcome of the Board Meeting to the Stock Exchanges.
