Reference: Regulation 30 and Regulation 31A (10) of SEBI (Listing Obligations And Disclosure

Requirements) Regulations, 2015 relating to reclassification of “Promoter/Promoter Group

Category” to “Public Category” pursuant to Open Offer.

Dear Sir/Madam,

Pursuant to provisions of Regulation 30 and Regulation 31A of SEBI (Listing Obligations And Disclosure

Requirements) Regulations, 2015 (Listing Regulations) and in compliance with SEBI (Substantial Acquisition of

Shares Transfer) Regulations, 2011 (SEBI SAST Regulations), the existing Promoter and Promoter Group of

the Company executed Share Purchase Agreement dated 30th October, 2024 with M/s Hathor Corporate

Advisors LLP (Acquirer) along with M/s. Plutus Capital Management LLP (Person Acting in Concert) and in

open offer dated 30th October, 2024 intention of the promoter(s) to reclassify from Promoter Category to

Public Category has been disclosed and accordingly existing Promoter and Members of Promoter Group have

initiated transfer of their respective shares to M/s Hathor Corporate Advisors LLP (Acquirer).

As on date, transfer of shares from Promoters to Acquirer is pending for one (1) member of Promoter Group

for which transfer of shares have been initiated and intimation of completion of the same will be given in due

course of time and they will be reclassified from the “Promoter/Promoter Group Category” to “Public

Category” in accordance with Regulation 31A(10) of the Listing Regulations.

Further In order to comply with norms of open offer, SEBI Listing Regulations and SEBI SAST Regulations, the

Directors belonging to Promoter and Promoter Group of the Company has tendered their resignation from

Board of Directors of the Company effective from closing hours of 24th June, 2025.

As on date of intimation, the Acquirer holds 13,71,868 shares representing 65.12 % shares and PAC holds

1,06,000 shares representing 5.03% of the Company. The Total Holding of the Acquirer along with PAC stand

at 14,77,868 shares representing 70.16 % shares.

The Acquirer also control the Management of the Company effective from 24th June, 2025.
