“RESOLVED THAT pursuant to the provisions of Sections 196, 197, 198, 203 and other applicable provisions, if

any, of the Companies Act, 2013 (“the Act”) read with Schedule V to the Act, the Companies (Appointment and

Remuneration of Managerial Personnel) Rules, 2014, and the applicable provisions of the Securities and Exchange

Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, including but not limited to

Regulation 17(1C) and subject to such other approvals, permissions and sanctions as may be necessary, and based

on the recommendation of the Nomination and Remuneration Committee and approval of the Board of Directors, the

consent of the members be and is hereby accorded for the appointment of Mr. Ravin Saluja (DIN: 00289305) as

Managing Director of the Company, for a period of 5 (five) years commencing from April 22, 2025 to April 21,

2030, not liable to retire by rotation, on the terms and conditions, including remuneration, as set out below and

which shall be deemed to form part hereof

Remuneration (as per Schedule V):

A. Fixed Remuneration:

 Monthly Salary: Upto ₹5,00,000/-

 Annual CTC: Upto ₹60,00,000/-

(inclusive of all fixed perquisites, allowances, and benefits)

B. Perquisites / Allowances / Other Benefits (as per Company policy):

 House Rent Allowance or Company-provided accommodation

 Medical reimbursement and Leave Travel Assistance

 Company-maintained car with driver and telephone facility

 Contribution to Provident Fund, Gratuity and Leave Encashment as per applicable law

 Personal Accident Insurance and other standard benefits.”

“RESOLVED FURTHER THAT in the event of absence or inadequacy of profits in any financial year during the

tenure of Mr. Ravin Saluja as Managing Director, the Company shall pay the above remuneration as minimum

remuneration, in accordance with the limits and conditions prescribed under Schedule V to the Companies Act,

2013.”

“RESOLVED FURTHER THAT pursuant to Regulation 17(1C) of SEBI (Listing Obligations and Disclosure

Requirements) Regulations, 2015, approval of the members be and is hereby accorded for the appointment of Mr.

Ravin Saluja as Managing Director, being part of the promoter/promoter group and drawing remuneration from the

NOTES:

1. Pursuant to the General Circular No. 09/2024 dated September 19, 2024, issued by the Ministry of

Corporate Affairs (MCA) and circular issued by SEBI vide circular no. SEBI/ HO/ CFD/ CFDPoD-

2/ P/ CIR/ 2024/ 133 dated October 3, 2024 (“SEBI Circular”) and other applicable circulars and

notifications issued (including any statutory modifications or re-enactment thereof for the time

being in force and as amended from time to time, companies are allowed to hold EGM/AGM

through Video Conferencing (VC) or other audio visual means (OAVM), without the physical

presence of members at a common venue. In compliance with the said Circulars, EGM/AGM shall

be conducted through VC / OAVM.

2. Pursuant to the provisions of the Act, a member entitled to attend and vote at the EGM is entitled

to appoint a proxy to attend and vote on his/her behalf and the proxy need not be a member of the

company. Since this EGM is being held pursuant to the MCA circulars through VC or OAVM, the

requirement of physical attendance of Members has been dispensed with. Accordingly, in terms of

the MCA circulars, the facility for appointment of proxies by the Members will not be available for

this EGM and hence the proxy form, attendance slip and route map of EGM are not annexed to this

Notice.

3. Notice of calling the EGM are being sent through electronic mode to those Members, whose email

addresses are registered with the Company/its Registrar/Depositories and it permitted holding of

the (‘EGM’) through VC/OAVM facility, without the physical presence of the members at a

common venue.

4. Institutional/Corporate shareholders (i.e. other than individuals/HUF, NRI, etc.) are required to

send a scanned copy (pdf/jpg format) of its board or governing body's resolution/authorisation

etc., authorising their representative to attend the e-EGM on its behalf and to vote through remote

e-voting. The said resolution/authorisation shall be sent to the scrutinizer by email through its

registered e-mail at mdpldc@yahoo.com with a copy marked to acmeresources@gmail.com.

5. The facility of joining the EGM through VC/OAVM will be opened 15 minutes before and will be

open upto 15 minutes after the scheduled start time of the EGM, i.e., from 10.00 a.m. to 11.00 a.m.

and will be available for 1,000 members on a first-come first-served basis. This rule would however

not apply to participation of shareholders holding 2% or more shareholding, promoters,

institutional investors, directors, key and senior managerial personnel, auditors etc.

6. Institutional investors, who are members of the Company are encouraged to attend and vote at the

EGM of the Company.

7. To avoid fraudulent transactions, the identity/signature of the members holding shares in

electronic/demat form is verified with the specimen signatures furnished by NSDL/CDSL and

that of members holding shares in physical form is verified as per the records of the share transfer

agent of the Company. Members are requested to keep the same updated.

8. SEBI has mandated the submission of Permanent Account Number (PAN) by every person dealing

in securities market. Members holding shares in electronic form are, therefore, requested to submit

the PAN to their depository participants with whom they are maintaining their demat accounts.

Members holding shares in physical form can submit their PAN details to the Company or

Maheshwari Datamatics (P) Limited.

9. With a view to enable the Company to serve the members better, members who hold shares in

identical names and in the same order of names in more than one folio are requested to write to the

Company to consolidate their holdings in one folio.

10. SEBI vide its notification dated 8 June 2018 as amended on 30 November 2018, has stipulated that

w.e.f. 1 April 2019, the transfer of securities (except transmission or transposition of shares) shall

not be processed, unless the securities are held in the dematerialised form. The Company has

complied with the necessary requirements as applicable, including sending of letters to

shareholders holding shares in physical form and requesting them to dematerialise their physical

holdings.

11. Members who still hold share certificates in physical form are advised to dematerialise their

shareholding to also avail of numerous benefits of dematerialisation, which include easy liquidity,

ease of trading and transfer, savings in stamp duty and elimination of any possibility of loss of

documents and bad deliveries.

12. In case of joint holders, the member whose name appears as the first holder in the order of names

as per the Register of Members of the Company will be entitled to vote at the e-EGM.

13. The Company has been maintaining, inter alia, the following statutory registers at its registered

office at 984, 9th Floor, Aggarwal Cyber Plaza-II, Netaji Subhash Place, New Delhi:

i) Register of contracts or arrangements in which directors are interested under section 189 of the

Act.

ii) Register of directors and key managerial personnel and their shareholding under section 170 of

the Act. In accordance with the MCA Circulars, the said registers will be made accessible for

inspection through electronic mode and shall remain open and be accessible to any member

during the continuance of the meeting.

14. For ease of conduct, members who would like to ask questions/express their views on the items of

the businesses to be transacted at the meeting can send in their questions/comments in advance by

visiting URL https://acmeresources.in and clicking on the tab 'Post your Queries' during the

period starting from 17th July 2025 (9.00 a.m.) upto 20th July 2025 (5.00 p.m.) mentioning their name,

demat account no./Folio no., e-mail Id, mobile number, etc. The queries may be raised precisely

and in brief to enable the Company to answer the same suitably depending on the availability of

time at the meeting.

15. Pursuant to section 72 of the Act, members holding shares in physical form are advised to file

nomination in the prescribed Form SH-13 (a copy of which is available on the Company's website.

In respect of shares held in electronic/demat form, the members may please contact their

respective depository participant.

16. Since the meeting will be conducted through VC/OAVM facility, the route map is not annexed to

this Notice.

17. In case a person becomes a member of the Company after dispatch of EGM Notice, and is a

member as on the cut-off date for e-voting, i.e., Monday, 14th July’2025, such person may obtain the

18. Pursuant to SEBI Circular No. SEBI/HO/CFD/CMD/CIR/P/2020/242 dated 09.12.2020, under

Regulation 44 of Securities and Exchange Board of India (Listing Obligations and Disclosure

Requirements) Regulations, 2015, listed entities are required to provide remote e-voting facility to

its shareholders, in respect of all shareholders’ resolutions. However, it has been observed that the

participation by the public non-institutional shareholders/retail shareholders is at a negligible

level. Currently, there are multiple e-voting service providers (ESPs) providing e-voting facility to

listed entities in India. This necessitates registration on various ESPs and maintenance of multiple

user IDs and passwords by the shareholders. In order to increase the efficiency of the voting

process, pursuant to a public consultation, it has been decided to enable e-voting to all the demat

account holders, by way of a single login credential, through their demat accounts/ websites of

Depositories/ Depository Participants. Demat account holders would be able to cast their vote

without having to register again with the ESPs, thereby, not only facilitating seamless

authentication but also enhancing ease and convenience of participating in e-voting process.

Step 1 : Access through Depositories CDSL/NSDL e-Voting system in case of individual

shareholders holding shares in demat mode.

19. In terms of SEBI circular no. SEBI/HO/CFD/CMD/CIR/P/2020/242 dated December 9, 2020 on

e-Voting facility provided by Listed Companies, Individual shareholders holding securities in

demat mode are allowed to vote through their demat account maintained with Depositories and

Depository Participants. Shareholders are advised to update their mobile number and email Id in

their demat accounts in order to access e-Voting facility.

20. The procedure and instructions for remote e-voting are given below:

1. Pursuant to the provisions of Section 108 of the Companies Act, 2013 read with Rule 20 of the

Companies (Management and Administration) Rules, 2014 (as amended) and Regulation 44 of

SEBI (Listing Obligations & Disclosure Requirements) Regulations 2015 (as amended), and the

Circulars issued by the Ministry of Corporate Affairs dated April 08, 2020, April 13, 2020 and May

05, 2020 the Company is providing facility of remote e-Voting to its Members in respect of the

business to be transacted at the EGM/AGM. For this purpose, the Company has entered into an

agreement with National Securities Depository Limited (NSDL) for facilitating voting through

electronic means, as the authorized agency. The facility of casting votes by a member using remote

e-Voting system as well as venue voting on the date of the EGM/AGM will be provided by NSDL.

2. In line with the Ministry of Corporate Affairs (MCA) Circular No. 17/2020 dated April 13, 2020,

the Notice calling the EGM/AGM has been uploaded on the website of the Company at

www.acmeresources.in. The Notice can also be accessed from the websites of the Stock Exchanges

i.e. BSE Limited and National Stock Exchange of India Limited at www.bseindia.com and

www.nseindia.com respectively and the EGM/AGM Notice is also available on the website of

NSDL (agency for providing the Remote e-Voting facility) i.e. www.evoting.nsdl.com.

3. EGM/AGM has been convened through VC/OAVM in compliance with applicable provisions of

the Companies Act, 2013 read with MCA Circular No. 14/2020 dated April 08, 2020 and MCA

Circular No. 17/2020 dated April 13, 2020, MCA Circular No. 20/2020 dated May 05, 2020 and

THE INSTRUCTIONS FOR MEMBERS FOR REMOTE E-VOTING AND JOINING EXTRA

ORDINARY GENERAL MEETING ARE AS UNDER:-

The remote e-voting period begins on 17.07.2025 at 09:00 A.M. and ends on 20.07.2025 at 05:00 P.M. The

remote e-voting module shall be disabled by NSDL for voting thereafter. The Members, whose names

appear in the Register of Members / Beneficial Owners as on the record date (cut-off date) i.e.

14.07.2025, may cast their vote electronically. The voting right of shareholders shall be in proportion to

their share in the paid-up equity share capital of the Company as on the cut-off date, being 14.07.2025.

How do I vote electronically using NSDL e-Voting system?

The way to vote electronically on NSDL e-Voting system consists of “Two Steps” which are mentioned below:

the attachment i.e. a .pdf file. Open the .pdf file. The password to open the

.pdf file is your 8 digit client ID for NSDL account, last 8 digits of client ID

How to cast your vote electronically and join General Meeting on NSDL e-Voting system?

1. After successful login at Step 1, you will be able to see all the companies “EVEN” in which you are

holding shares and whose voting cycle and General Meeting is in active status.

2. Select “EVEN” of company for which you wish to cast your vote during the remote e-Voting

period and casting your vote during the General Meeting. For joining virtual meeting, you need to

click on “VC/OAVM” link placed under “Join Meeting”.

3. Now you are ready for e-Voting as the Voting page opens.

4. Cast your vote by selecting appropriate options i.e. assent or dissent, verify/modify the number of

shares for which you wish to cast your vote and click on “Submit” and also “Confirm” when

prompted.

5. Upon confirmation, the message “Vote cast successfully” will be displayed.

6. You can also take the printout of the votes cast by you by clicking on the print option on the

confirmation page.

THE INSTRUCTIONS FOR MEMBERS FOR e-VOTING ON THE DAY OF THE EGM/AGM ARE AS

UNDER:-

1. The procedure for e-Voting on the day of the EGM/AGM is same as the instructions mentioned

above for remote e-voting.

2. Only those Members/ shareholders, who will be present in the EGM/AGM through VC/OAVM

facility and have not casted their vote on the Resolutions through remote e-Voting and are

otherwise not barred from doing so, shall be eligible to vote through e-Voting system in the

EGM/AGM.

3. Members who have voted through Remote e-Voting will be eligible to attend the EGM/AGM.

However, they will not be eligible to vote at the EGM/AGM.

4. The details of the person who may be contacted for any grievances connected with the facility for

e-Voting on the day of the EGM/AGM shall be the same person mentioned for Remote e-voting.

INSTRUCTIONS FOR MEMBERS FOR ATTENDING THE EGM/AGM THROUGH VC/OAVM ARE

AS UNDER:

1. Member will be provided with a facility to attend the EGM/AGM through VC/OAVM through

the NSDL e-Voting system. Members may access by following the steps mentioned above for

Access to NSDL e-Voting system. After successful login, you can see link of “VC/OAVM” placed

under “Join meeting” menu against company name. You are requested to click on VC/OAVM

link placed under Join Meeting menu. The link for VC/OAVM will be available in

Shareholder/Member login where the EVEN of Company will be displayed. Please note that the

members who do not have the User ID and Password for e-Voting or have forgotten the User ID

and Password may retrieve the same by following the remote e-Voting instructions mentioned in

the notice to avoid last minute rush.

2. Members are encouraged to join the Meeting through Laptops for better experience.

3. Further Members will be required to allow Camera and use Internet with a good speed to avoid

any disturbance during the meeting.

4. Please note that Participants Connecting from Mobile Devices or Tablets or through Laptop

connecting via Mobile Hotspot may experience Audio/Video loss due to Fluctuation in their

respective network. It is therefore recommended to use Stable Wi-Fi or LAN Connection to

mitigate any kind of aforesaid glitches.

5. Shareholders who would like to express their views/have questions may send their questions in

advance mentioning their name demat account number/folio number, email id, mobile number at

acmeresources@gmail.com. The same will be replied by the company suitably.

6. Shareholders who would like to express their views/ask questions as a speaker at the Meeting

may pre-register themselves by sending a request from their registered e-mail address mentioning

their names, DP ID and Client ID/folio number, PAN and mobile number at

acmeresources@gmail.com between 17.07.2025 10:00 a.m. (IST) and 20.07.2025, 05:00 p.m. (IST).

Only those Shareholders who have pre-registered themselves as a speaker will be allowed to

express their views/ask questions during the EGM. The Company reserves the right to restrict the

number of speakers depending on the availability of time for the EGM.

7. Shareholders attending the EGM through VC/OAVM shall be counted for the purpose of

reckoning the quorum under Section 103 of the Act.

21. Members can cast their vote online from 17th July 2025 (9.00 a.m.) till 20th July 2025 (5.00 p.m.).

Voting beyond the said date shall not be allowed and the remote e-voting facility shall be disabled.

care to keep your password confidential. Login to the e-voting website will be disabled upon five

24. The voting rights shall be as per the number of paid up Equity Shares held by the Member(s) as on

14-07-2025, being the cut-off date. Members are eligible to cast vote electronically only if they are

holding shares as on that date. Any person, who acquires shares of the Company and becomes a

Member of the Company after dispatch of the Notice and holding shares as of the cut-off date, may

obtain the login ID and password by sending a request at evoting@nsdl.co.in. However, if he/she

is already registered with NSDL for remote e-voting then he/she can use his/her existing User ID

and password for casting the vote.

25. The Scrutinizer shall, immediately after the conclusion of voting at the EGM, first count the votes

cast at the Meeting, thereafter unblock the votes cast through remote e-voting in the presence of at

least two witnesses not in the employment of the Company and make, not later than 48 hours of

conclusion of the EGM, a consolidated Scrutinizer’s Report of the total votes cast in favour or

against, if any, to the Chairman or a person authorised by him in writing, who shall countersign

the same.

26. The details of the voting result along with the Scrutinizer’s Report shall be submitted to the Stock

Exchanges i.e. BSE Limited and National Stock Exchange of India Limited where the Shares of the

Company are listed within forty-eight hours of conclusion of the EGM and shall also be placed on

the Company’s website at www.acmeresources.in and on NSDL’s website at

www.evoting.nsdl.com simultaneously.

27. Closing of the Register of Members / Share Transfer Register, Pursuant to Section 91 of the

Companies Act, 2013, read with rules made thereto, for the purpose of ensuing EGM of the

Company, from July 15, 2025 to July 21, 2025 (both days inclusive).

28. Members are requested to notify immediately any change in their addresses to the Registrar and

Share Transfer Agent, Maheshwari Datamatics Private Limited of 23 R.N. Mukherjee Road 5th

Floor, Kolkata - 700001.

30. Mr. Amit Choraria, Practicing Chartered Accountant, Partner at M/s. Amit Choraria & Co. has

been appointed by the Board of Directors of the Company as the Scrutinizer for conducting the

remote e-voting process as well as the e-voting system on the date of the EGM, in a fair and

transparent manner.

31. The Scrutinizer shall, within a period not exceeding three (3) working days from the conclusion of

the e-voting period unblock the votes in the presence of at least two (2) witnesses not in the

employment of the Company and will make a Scrutinizer's Report of the votes cast in favour or

against, if any, forthwith to the Chairman of the Company.

32. The Results declared along with the Scrutinizer's Report(s) will be available on the website of the

Company and on Depository Participants (DPs) website within two (2) days of passing of the

resolutions and would also be communicated to the Kolkata and Bombay Stock Exchange.

33. Loss of Shares: In case of loss/misplacement of share certificates, Members should immediately

lodge a complaint/FIR with the police and inform the Company’s Registrar and Transfer Agent,

Integrated for the procedure of obtaining the duplicate share certificates.

34. Non-Resident shareholders: Non-Resident shareholders are requested to immediately notify the

following to the Company in respect of shares held in Physical form and to their DPs in respect of

shares held in Dematerialized form:

• Indian address for sending all communications, if not provided so far;

• Change in their residential status on return to India for permanent settlement;

EXPLANATORY STATEMENT PURSUANT TO SECTION 102 OF THE COMPANIES ACT, 2013

The Board of Directors, on the recommendation of the Nomination and Remuneration Committee, at its

meeting held on 22, April, 2025 approved the appointment of Mr. Ravin Saluja (DIN: 00289305) as the

Managing Director of the Company for a term of five years from April 22, 2025 to April 21, 2030, not

liable to retire by rotation, subject to approval of shareholders.

The Company has inadequate profits as per Section 198 of the Companies Act, 2013, and therefore

proposes to pay remuneration within the limits specified under Schedule V of the Act, without seeking

any special resolution, since:

 The remuneration is within the limits specified in Part II, Section II, Item (A)(i) of Schedule V;

 The appointment has been approved by the Nomination and Remuneration Committee and

Board of Directors;

 The Company has not committed any default in repayment of any of its dues;

 The appointment is being made via Ordinary Resolution, as permitted under the applicable

provisions.

 Appointment of Mr. Ravin Saluja as Managing Director is for a period of five years from April 22,

2025 to April 21, 2030, the remuneration as proposed above is being approved for a period of 3

(three) years, in accordance with the provisions of Section II of Part II of Schedule V to the

Companies Act, 2013."

The disclosures required under Schedule V of the Companies Act, 2013 and Secretarial Standard-2 along

with Regulation 36(3) of SEBI LODR are enclosed as Annexure 1 and Annexure 2 respectively.

The terms and conditions of his appointment, including remuneration, are available for inspection by

members at the Registered Office of the Company during business hours on any working day up to the

date of the meeting and will also be available at the meeting.

None of the Directors and Key Managerial Personnel of the Company or their relatives, except Mr. Ravin

Saluja, to whom the resolution relates, is concerned or interested, financially or otherwise, in the

resolution set out at Item No. 1.

The Board recommends the resolution set forth in Item No. 1 for the approval of the shareholders as an

Ordinary Resolution.
