Re: Update on subscription of 1 (one) equity share and 39,00,781 (thirty nine lakhs seven hundred

and eighty one) compulsorily convertible preference shares of Blue Energy Motors Limited

(“Target Company”)

This has reference to our earlier communication dated 13 June 2025 regarding subscription of 1 (one)

equity share and 39,00,781 (thirty nine lakhs seven hundred and eighty one) compulsorily convertible

preference shares of the Target Company (collectively, the “Subscription Securities”) and execution of

inter alia the share subscription agreement dated 13 June 2025 (“SSA”) between inter alia Omnitex

Industries (India) Limited (“Company”), the Target Company, Blue Energy Motor Corp. Pte. Ltd., and

Exponentia Ventures Holdings Limited.

In this regard, this is to inform you that the subscription of the Subscription Securities by the Company,

as agreed under the aforesaid SSA, has been completed on 24 June 2025.
