Pursuant to Regulation 30 read with Schedule III Part A Para A (1) of Securities and Exchange Board of

Saraswati Commercial (India) Limited (‘the Company’’) as an Anchor Investor has agreed to make an

investment of 18,29,282 Equity Shares at a price of Rs. 82/- per share by way of subscription in the

Anchor category in the Initial Public Offer of Equity Shares of the Sambhv Steel Tubes Limited.

The Company has received the confirmation of allocation for the aforesaid investment of equity

shares today i.e. 24th June, 2025 @ 7.54 p.m.

The details required under Regulation 30 of the SEBI (Listing Obligations and Disclosure

Requirements) Regulations, 2015, read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD-

1/P/CIR/2023/123 dated 13th July, 2023 are enclosed as Annexure - A.

Company as a Financial Investor.

The total cost of the proposed investment in equity

shares of Sambhv Steel Tubes Limited will exceed the

threshold specified in Regulation 30(4)(i)(c)(2) of SEBI

(Listing Obligations and Disclosure Requirements)

Regulations, 2015 i.e. 2% of net worth, as per the last

audited consolidated financial statements of the

Company.
