Mahindra & Mahindra Limited — Important, 25-06-2025: Sale or disposal

Mahindra Defence Systems Limited (MDSL), a wholly owned subsidiary of Mahindra & Mahindra, has agreed to sell its entire stakes in Mahindra Emirates Vehicle Armouring (MEVA) and Mahindra Telephonics Integrated Systems Limited (MTISL) to Mahindra Advanced Technologies Limited (MATL), a newly incorporated wholly owned subsidiary. Concurrently, the Company will sell its entire stake in MDSL to MATL through a share swap valued at Rs. 1,218.16 Cr. These transactions will reorganize the ownership structure, with MEVA, MTISL, and MDSL becoming subsidiaries or step-down subsidiaries of the Company via MATL. The deals are expected to complete by September 23, 2025.
