Signatureglobal (India) Limited — Others, 25-06-2025: Amendment to AOA/MOA

Signature Global has announced a board meeting approving a fundraise via issuance of secured listed redeemable non-convertible debentures (NCDs) up to Rs. 875 Cr on a private placement basis. A Debenture Committee has been formed to manage the issuance process. The board also approved amending the Articles of Association to allow appointment of a director nominated by the debenture trustee, pending shareholder approval. A postal ballot notice will be circulated seeking shareholder consent for the NCD issue, borrowing limit enhancement, security creation limit increase, and the Articles amendment.
