Akzo Nobel India Limited — Important, 27-06-2025: Agreements

Akzo Nobel India’s promoters, Imperial Chemical Industries Limited (50.46% stake) and Akzo Nobel Coatings International B.V. (24.30% stake), have executed a Share Purchase Agreement (SPA) with JSW Paints Limited to sell their entire shareholding. The deal price is INR 2,762.05 per share, subject to adjustments. Post open offer and transaction completion, JSW Paints may hold up to 75% of Akzo Nobel India and will gain sole control, becoming the new promoter. Akzo Nobel N.V. will enter brand and IP licensing deals with the company before closing. A standstill agreement is in place pending transaction completion.
