Akzo Nobel India Limited — Important, 27-06-2025: Agreements

Akzo Nobel India’s promoters, Imperial Chemical Industries Limited (50.46% stake) and Akzo Nobel Coatings International B.V. (24.30% stake), have entered into a Share Purchase Agreement with JSW Paints to sell their entire shareholding. The acquisition price is ₹2,762.05 per share, subject to adjustments. Post mandatory open offer, JSW may acquire up to 75% ownership, gaining sole control and becoming the sole promoter. Akzo Nobel N.V. will grant brand and IP licenses to the Company before deal closure. The transaction awaits regulatory approvals and includes interim standstill covenants.
