Axis Bank has announced a board meeting on a date in July 2025 to consider the financial results for the quarter and half-year. The bank proposes dividend declaration for fiscal 2025 and re-appointment of Mini Ipe as director. Key agenda includes appointment of M/s. Bhandari & Associates as Secretarial Auditors for next five years and revision of remuneration for CEO Amitabh Chaudhry and Executive Directors Subrat Mohanty and Munish Sharda. The bank plans to enhance its borrowing limit to ₹3,00,000 crores, raise debt up to ₹35,000 crores via private placement, and issue equity and/or convertible securities up to ₹20,000 crores. Material related party transactions with promoter entities LIC, LIC Housing Finance, IDBI Bank, and associate Axis Max Life Insurance are also subject to approval. The dividend recommended is ₹1 per equity share of face value ₹2, subject to member approval. The bank’s consolidated return on assets and equity stood at 1.77% and 16.89%, respectively, with a CET1 ratio of 14.67%. Net NPA ratio was maintained at 0.33%. Operating profit grew 13% year-on-year, supported by strong fee income and disciplined cost management. The retail loan book grew 7% with approximately 60% secured advances; corporate advances grew 8%. The bank’s digital banking user base exceeded 15 million active monthly users with ‘open’ app highly rated globally. It leads the UPI payments market with a ~33% payer PSP share. Premium segments such as Burgundy Private grew assets under management by 10%. The bank’s ESG agenda is integral, with wholesale lending to sustainable sectors at ₹48,412 crores and over 3.27 million trees planted under CSR initiatives. Workforce diversity reached 27.7% women representation, targeting 30% by fiscal 2027. All directors and key managerial personnel affirm compliance with codes of conduct; the board comprises 13 directors, including eight independents and two women directors. The bank maintains rigorous governance with multiple board committees overseeing risk, audit, remuneration, ESG, customer service and fraud management. The secretarial audit confirms statutory compliance with no adverse remarks. Statutory auditors issued unmodified opinion on standalone and consolidated financial statements. No material instances of fraud or regulatory non-compliance adversely impacting operations were reported. The total dividend payout proposed represents about 1.17% of standalone net profit after tax. The bank operates a robust risk management framework covering credit, market, operational, liquidity, cyber and climate risks, with independent oversight by the board’s Risk Management Committee. Investments are classified and valued per RBI guidelines; gross advances stood at ₹1,040,811 crores with gross NPAs at ₹13,961 crores. The bank maintains comprehensive disclosures on related party transactions, subsidiaries, and employee benefits consistent with regulatory standards.
