Seamec Limited — Important, 27-06-2025: Agreements

HAL Offshore Limited (holding 70.36% of Seamec), MMG Marine Engineering Private Limited, and Rinkpi Finance & Consultants Private Limited (both promoter group entities) have approved a Scheme of Arrangement involving the demerger of HAL Offshore’s Vessel & Marine Business to MMG and Securities Investment Business to Rinkpi. Seamec’s shares currently held by HAL Offshore will transfer to Rinkpi post-scheme, maintaining promoter group shareholding and control. The scheme awaits regulatory approval and will not impact Seamec’s management or control structure. Transaction conducted at arm’s length.
