Blue Cloud Softech Solutions Limited has announced a board meeting for an Extra Ordinary General Meeting through video conference to approve the acquisition of 100% stake in AIS Anywhere, a New Jersey-based global tech solutions provider specializing in AI, data analytics, cybersecurity, IoT, and enterprise solutions. The company plans to issue 31.68 billion equity shares at Rs. 23.06 each, aggregating to Rs. 7,305.4 Cr, to the existing AIS Anywhere shareholders via share swap as consideration. Post-acquisition, Blue Cloud will become the holding company of AIS Anywhere, with no change in the company’s control. The preferential allotment is subject to shareholder approval and regulatory clearances.
