Mahindra & Mahindra Ltd. has announced a board meeting to consider the financial results for the quarter and half-year. Key ordinary business includes adoption of standalone and consolidated financial statements, dividend declaration, and re-appointments of directors including Mr. Anand G. Mahindra and Mr. Rajesh Jejurikar. Special business covers revision in remuneration to Mr. Anand G. FY25 performance highlights:

- Consolidated income from operations increased 14.5% to ₹1,59,211 crore; PAT up 14.7% at ₹12,929 crore.

- Standalone revenue up 17% to ₹1,18,625 crore; PAT up 11% to ₹11,855 crore.

- Auto sector grew 14.1% in volumes to 9.41 lakh vehicles; Farm Equipment volumes rose 12.2% to 4.24 lakh tractors, achieving a 43.3% market share.

- Automotive segment retained leadership in SUVs (22.5% revenue share), LCVs (<3.5T) at 51.9% share, and electric 3 wheelers market share rose to 42.9%.

- Notable launches: Electric origin SUVs BE 6 & XEV 9e, Thar ROXX (176,000 bookings in 1 hour).

- Mahindra Finance’s AUM increased 17% to ₹1,19,673 crore; Tech Mahindra improved EBIT margin to 9.7%.

- Mahindra Lifespaces expanded gross development value 4.1x to ₹18,100 crore.

- Robust digital transformation with adoption of AI-powered manufacturing and customer service tools.

- ESG focus reinforced by sustaining leadership in Dow Jones Sustainability Index; commitments include carbon neutrality by 2040 and 100% renewable electricity by 2030.

- Corporate social responsibility spend of ₹152 Cr targeted at women empowerment, education, and water conservation.

Board changes included appointment of new non-executive directors Ms. Padmasree Warrior, Mr. Ranjan Pant, and Mr. Sat Pal Bhanoo (LIC nominee), while some independent directors completed their terms. The company maintains strong governance practices and high credit ratings (AAA/Stable).

Material related party transaction approvals sought for dealings with Mahindra Electric Automobile Ltd. and its subsidiaries with estimated transaction limits adjusted to ₹30,920 crore and ₹1,400-3,750 crore respectively for effective business continuity.

Dividend of ₹25.30 per equity share (506%) proposed, reflecting strong profit growth and cash flow.

Investor engagement includes over 230 interactions in FY25, and AGM to be conducted via video conferencing with remote e-voting facility.
