JB Chemicals & Pharmaceuticals Limited — JV/Acquisition, 29-06-2025: Amalgamation/Merger

J.B. Chemicals & Pharmaceuticals is merging into Torrent Pharmaceuticals to consolidate their pharma businesses and unlock operational synergies, scale benefits, and expanded market access. Torrent will issue 51 shares of INR 5 each for every 100 shares of J.B. Chemicals held by shareholders. The merger aims to enhance product offerings, improve efficiencies, reduce compliance costs, and strengthen long-term growth prospects. Torrent will also acquire 46.39% stake in J.B. Chemicals from promoter Tau via a share purchase, gaining control over the company ahead of the merger.
