JB Chemicals & Pharmaceuticals Limited — Important, 30-06-2025: Public Announcement-Open Offer

Torrent Pharmaceuticals Limited has announced a board meeting to discuss an open offer to acquire up to 4.17 crore equity shares, representing 26% of the expanded share capital, of J.B. Chemicals & Pharmaceuticals Limited at an offer price of INR 1,639.18 per share in cash. This follows a share purchase agreement to acquire 46.39% stake from the current promoter Tau Investment Holdings at INR 1,600 per share, intending to gain control of J.B. Chemicals. The acquirer also plans a merger wherein J.B. Chemicals will be amalgamated into Torrent Pharmaceuticals with an equity swap for shareholders. The acquirer does not intend to delist the company.
