Shelter Pharma Limited has announced a board meeting to seek shareholders' approval for issuing up to 91.02 lakh convertible equity share warrants priced at INR 42.25 each, aggregating INR 38.46 Cr. These warrants will be allotted to promoters and non-promoters on a preferential private placement basis and can be converted into equity shares within 18 months. Proceeds are intended primarily for working capital (up to 85%) and general corporate purposes (up to 15%). Post-issuance, existing promoters will retain control, with no change in management. The equity shares upon conversion will be listed on BSE SME platform and carry equal rights with existing shares.
